This User Agreement (“Agreement”) is between you and ioscholarships.com, with a principal place of business at 8117 West Manchester Avenue Suite 535 Playa del Rey CA 90293. Your rights and obligations under this Agreement and in using this Site are not assignable. Your use and access of the ioscholarships.com Web site constitutes your acceptance, without modification, of the terms, conditions and notices contained herein. 13. This Agreement shall be governed and constructed in accordance with the laws of the State of Delaware without regard to conflicts of law provisions. Sole and exclusive jurisdiction for any action or proceeding arising out of or related to this Agreement shall be an appropriate state or federal court located in Delaware.

You shall indemnify and hold harmless the Indemnitee from and against any and all damages, costs, liabilities and attorneys’ fees incurred in defending and/or resolving such Action.

17. This Agreement and our Privacy Policy contain the entire agreement between you and ioscholarships.com with respect to this Site. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and ioscholarships.com with respect to this Site.
